Section 45(5a) Decoded: Balancing Ease of Business And Tax Enforcement (Part I)

By Dharmesh Shah, Advocate
Reading Time 22 mins

Section 45(5A) of the Income-tax Act, 1961 (re-enacted as sections 67(14)–(16) of the 2025 Act) governs capital gains taxation for individual and HUF landowners under Joint Development Agreements (JDAs). Previously, tax liability arose immediately upon JDA execution and handing over land possession, creating severe financial hardship before consideration was actually received. Section 45(5A) defers taxability to the year a project completion certificate is issued. Consideration is computed using the stamp duty value of the landowner's project share on the certificate's issue date, plus any cash received. This deferral strictly requires a registered specified agreement providing a project share.
